Dwayne Whylly | Associate

Dwayne is an associate in the Nassau office. He joined the firm in 2014 having previously worked in London with a ‘magic circle’ law firm. Dwayne has experience advising domestic and international corporate clients on a range of corporate and financial matters. Dwayne practices in the following Groups within the Firm: Banking and Finance, Corporate and Commercial, Insolvency and Restructuring and Investment Funds.

Dwayne studied at Yale University in the United States where he graduated in 2008 with a Bachelors of Arts (BA) degree, majoring in Economics and Psychology. He continued his education at Oxford University in the UK, where he received a Bachelor of Law with Honours (LLB Hons.) in 2011. Dwayne attended BPP Law School where he completed the Accelerated Legal Practice Course before joining the London office of a leading international law firm to complete his Training Contract. He also spent part of his Training Contract in Moscow, Russia working in corporate and finance departments. Dwayne qualified as a UK Solicitor in 2014. He joined Lennox Paton in 2014 and was called to the Bahamas Bar in 2015.

Dwayne has experience working on large cross-border corporate and finance transactions. He regularly advises local and international corporate clients and financial institutions on aspects of Bahamian law, including compliance with applicable regulations, secured financings, securities and investments laws and establishing a business in The Bahamas.

  • Advising global banking institutions involved in a merger on Bahamian regulatory requirements with respect to Bahamian subsidiaries, including obtaining necessary regulatory approvals.
  • Advising a multi-jurisdictional company on aspects of Bahamian law with respect to Bahamian subsidiaries on its IPO, including obtaining necessary regulatory approvals.
  • Advising a global banking institution concerning corporate governance and regulatory issues in respect of its Bahamian subsidiary.
  • Advising a foreign lender in respect of an aircraft financing transaction.
  • Assisting on a $1.6 billion syndicated loan refinancing.
  • Assisting on a secured financing transaction involving extensive Bahamian holdings as collateral.
  • Advising a financial and corporate services provider in respect of insolvency proceedings.
  • Advising local financial institutions generally in respect of establishment, compliance with regulatory requirements and corporate governance.
  • Advising local and foreign financial institutions generally on the offering of investments and securities in The Bahamas.
  • Assisting on the establishment of a new SMART Fund, including the preparation of constitutive documents and offering materials.
  • Advising of regulatory requirements for the establishment of businesses owned by non-Bahamians in The Bahamas.
  • Advising local and foreign clients generally on corporate matters, financing transactions, restructuring of local entities, Shareholders Agreements and employment matters.
